TERMS AND CONDITIONS OF SALE
Disclaimer: The following terms are provided for general business use by Plaid Safety. These terms are subject to change and do not create any obligation or liability beyond what is expressly stated herein.
1. Client Terms and Conditions Waiver - The client explicitly waives the application of its own standard terms and conditions, even if these are issued after the acceptance of this agreement. Any deviation from these Terms and Conditions must be expressly agreed to in advance and in writing by Plaid Safety.
2. Payment Terms - Invoices are payable within 30 calendar days from the invoice date unless another payment timeframe is indicated in writing on the invoice or order confirmation. In the event of late payment, Plaid Safety reserves the right to apply a 3% monthly late fee (or the maximum permitted by law, whichever is lower) on the outstanding balance. Plaid Safety may suspend or delay the provision of any services without prior notice until the overdue balance is paid in full.
3. Non-Payment and Collection - If payment remains outstanding more than 60 days after the due date, Plaid Safety reserves the right to engage a debt recovery agency or initiate legal collection proceedings. All legal fees, collection costs, court costs, and attorney’s fees incurred in collecting overdue amounts shall be payable by the client.
4. Taxes and Withholding - Invoices are issued exclusive of any taxes, transaction charges, or foreign withholding taxes. If the client’s country imposes withholding at source or any other local taxes, the client is solely responsible for paying these amounts directly to the relevant tax authority. Plaid Safety must receive the full invoiced amount without deductions of any kind, including taxes or Stripe payment processing fees.
5. Cancellation and Rescheduling - Cancellations or rescheduling of services with less than 48 hours’ notice will incur a $100 cancellation fee. This fee helps offset administrative and preparation costs.
6. Scope of Services - Plaid Safety will make best efforts to provide high-quality professional training and consulting services in accordance with agreed timelines. However, no obligations under this agreement shall be considered an obligation to achieve a specific result. Plaid Safety shall not, under any circumstances, be required to appear as a third party in any claim for damages initiated against the client by an end user or third party.
7. Claims and Complaints - To be valid, any claim or complaint regarding the delivery of goods or the performance of services must be submitted to Plaid Safety in writing via certified mail to its registered business address within 8 calendar days of the service date or delivery.
8. Governing Law and Jurisdiction - All contractual relations between the client and Plaid Safety are governed exclusively by the laws of the United States and the State of California. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Los Angeles County, California.
9. Acceptance of Terms - By purchasing services or products from Plaid Safety, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions of Sale. No verbal agreements shall override these terms unless confirmed in writing and signed by an authorized representative of Plaid Safety.
